# End User Licence Agreement

Permitted use of Flowpane, including agency client work and restrictions on reselling accounts or service access.

## Your licence

In this EULA, the service means the Flowpane functionality made available under your accepted agreement; supplied software means any Flowpane-provided connector or other software licensed for that service; customer material means the information, content and records you or your authorised users provide; and outputs means the reports, findings and drafts you are entitled to obtain. These definitions do not promise that a particular feature or interface is available.

Where this EULA forms part of your accepted agreement, Flowpane grants you a limited, non-exclusive, non-transferable right to access and use the service, and to use any supplied software or connector solely for that service, during your authorised access period and within your agreed plan and permissions. This is a licence, not a sale of the software or service.

You may authorise named users through supported membership and invitation features, within your agreement's limits. An invitation grants that user access under your organisation's agreement; it does not transfer your account or grant a right to resell the service.


## Permitted agency and consultancy use

Agencies and consultants may use Flowpane to manage websites they are authorised to manage for clients, organise that work in client workspaces, share permitted reports and outputs, and charge for their own monitoring, analysis, implementation, maintenance and advisory services.

You may invite a client's named personnel into an authorised workspace using supported access controls where your agreement allows it. An ordinary managed-service fee may include your cost of using Flowpane. The distinction is the service you provide: client work and its outputs are permitted; selling a customer's right to use Flowpane as a standalone or repackaged subscription is not. This express agency permission takes priority over the resale restrictions where an ordinary authorised client-service arrangement might otherwise be described as a service bureau or bundled service.

For example, charging a client to review their site's findings and deliver a report is permitted. Creating an account and then selling its credentials, or offering customers a paid login to Flowpane as your own software service, is prohibited unless Flowpane separately authorises it in writing.


## No resale of accounts or service access

Without a separate written reseller, distribution or other express commercial authorisation from Flowpane, you must not:

- Sell, rent, lease, transfer, trade or sublicense accounts, credentials, invitations, seats, workspaces, subscriptions or any other right to access Flowpane.
- Create, acquire or hold accounts for onward sale, pool credentials between unrelated users, or grant access outside supported permissions or agreed limits.
- Offer Flowpane access as a standalone service, a white-label platform, a service bureau or a repackaged subscription, whether sold separately or bundled with other services.
- Represent yourself as an authorised Flowpane reseller, or imply that your customers receive an independent Flowpane subscription or contractual relationship through you.

## Other licence restrictions

Do not bypass entitlement, security, rate or capacity controls; remove proprietary notices; or copy, distribute or modify the software beyond the rights expressly granted. Do not reverse engineer, decompile or disassemble it except where applicable law permits this despite the restriction. Do not use another person's identity or credentials.

The [Acceptable Use Policy](/acceptable-use) also applies. This EULA does not prevent lawful interoperability, statutory rights, authorised security reporting, or use of third-party components under their own applicable licences.


## Customer material and continued use of outputs

You retain your rights in customer material. Flowpane receives only the rights needed to provide, secure and support the agreed service under the Terms and applicable DPA. This EULA grants no perpetual licence to republish your confidential material or use it for model training. Flowpane and its licensors retain their rights in the software, branding and other protected materials; third-party rights and component licences continue to apply.

You may retain, use and share outputs lawfully obtained during your access period for your own and authorised clients' work after the service ends, subject to confidentiality, privacy and third-party rights. You may annotate or incorporate outputs into your work, but must distinguish your changes from Flowpane's original findings, preserve source and limitation notices relevant to their meaning, and not present an altered output as an unmodified Flowpane report. An output reflects its recorded evidence and time; retaining it does not entitle you to new checks or updates.

You must have authority to supply customer material and to share outputs with their recipients. Sharing an output does not grant the recipient a software licence, account or independent subscription. It also does not establish that an automated send or recipient-delivery feature is available.


## Duration and related terms

Access to the service and use of supplied software end when your authorised access or underlying agreement ends. Stop new processing through that access and disable or remove supplied connectors where continued use is no longer authorised. Do not destroy customer material in doing so; return and deletion of personal data follow the DPA. The permission above for previously obtained outputs and the restrictions on unauthorised distribution and resale continue. Ending access does not transfer ownership of customer material to Flowpane.
